Promotional Activities:
Resellers are permitted to engage in marketing and promotional activities that may result in prices lower than the MAP, provided these activities do not take place on Amazon. Resellers must still ensure that their pricing aligns with the overall brand image and does not devalue the products.
4. Platform Restrictions Reselling Veryplants products on Amazon, Walmart, and eBay is strictly prohibited without express written authorization from Veryplants Inc. Unauthorized listings on these platforms will be subject to immediate removal.
5. Brand Representation To maintain a consistent brand image and customer experience, resellers must adhere to the following guidelines:
- Use only official product descriptions, images, and promotional materials provided by Veryplants Inc.
- Do not alter, repackage, or rebrand Veryplants products in any way.
- Ensure that customer service aligns with the standards provided through help.veryplants.com.
6. Confidentiality Resellers are required to maintain the confidentiality of any proprietary information provided by Veryplants Inc., including but not limited to product pricing, marketing strategies, and sales data. Unauthorized disclosure of this information to third parties is strictly prohibited and may result in the termination of the reseller agreement.
7. Enforcement and Penalties Veryplants Inc. reserves the right to enforce this policy through the following measures:
- First Violation: Written warning and requirement to correct the violation within 7 days.
- Second Violation: Suspension of wholesale account and a requirement to correct the violation within 14 days.
- Third Violation: Termination of reseller agreement and revocation of authorization to resell Veryplants products.
- Legal Action: Veryplants Inc. reserves the right to pursue legal action against resellers who engage in unauthorized sales practices, including but not limited to MAP violations and unauthorized platform sales.
8. Compliance with Local Laws Resellers are responsible for ensuring that their resale activities comply with all applicable local, state, provincial, and federal laws in the regions where they operate. This includes, but is not limited to, tax obligations, consumer protection laws, and any regulations related to online sales and advertising.
9. Prohibition on Repackaging Resellers are prohibited from repackaging Veryplants products under another brand. All products must be sold in their original packaging with all branding intact.
10. Guaranteed Sell-Through Veryplants Inc. offers a guaranteed sell-through for up to 1 pallet of every product for every retailer. Specific terms and conditions apply, as detailed in the reseller agreement.
11. Customer Support Resellers must direct customers to help.veryplants.com for support inquiries. This ensures a consistent and high-quality customer experience.
12. Legal Compliance This Policy is designed to comply with all applicable laws in the United States and Canada. Resellers are responsible for ensuring their practices align with local regulations.
13. Amendments Veryplants Inc. reserves the right to amend this Policy at any time. It is the responsibility of resellers to stay informed of the most current version of this Policy, which will be available on our website.
14. Dispute Resolution In the event of a dispute arising from this Policy or the reseller agreement, both parties agree to seek resolution through mediation before pursuing any legal action.
